These terms govern your use of the WhatsUp4Marketing platform as a Vendor or SaaS Reseller partner.
1. Definitions
Vendor: An individual or organization that resells, manages, or offers WhatsUp4Marketing services to clients.
End User: Clients or businesses using the platform under your management.
2. Vendor Responsibilities
As a vendor, you agree to:
Only onboard clients who have proper opt-in consent
Ensure your clients follow WhatsApp and Meta policies
Not offer unauthorized automations or third-party tools outside the platform
Provide basic support and ensure ethical use by clients
You are solely responsible for the actions of the end-users under your vendor account.
3. Compliance Requirements
You must:
Follow Meta’s Platform Terms
Follow WhatsApp’s Business Policy
Disclose data collection and usage to clients
Avoid sending bulk messages without prior opt-in from recipients
Vendors found violating policies may be terminated without refund.
4. Billing and Revenue Sharing (if applicable)
Where applicable:
Vendors may receive commissions or operate white-labeled versions
Payment terms, billing cycles, and margins are governed by a separate Vendor Agreement
5. Termination
We reserve the right to terminate vendor access if:
Policy violations occur (e.g., spam, automation misuse)
Misrepresentation of the platform is identified
End-users report abuse or misuse
6. Limitation of Liability
We are not liable for:
Damages caused by misuse of the WhatsApp Business API
Downtime or disruptions in Meta’s services
Vendor-specific customizations or integrations
